Annual Report 2022

The Board of Directors of Spir Group has approved the annual accounts for 2022. The financial statements and annual report for the financial year 2022 are attached to this announcement.

“The financial year 2022 was another transitional year for Spir Group with several important steps towards our ambition to become the leading Nordic data driven software provider for public case management and proptech. With our platform and solid base of annual recurring revenue across all segments, we are well positioned to secure continued growth in our software business in 2023,” said Nicolay Moulin, CEO of Spir Group. 

Spir Group acquired Metria AB in April 2022, securing a stronger presence in the Swedish market. Furthermore, Spir Group divested Prognosesenteret in November 2022 to sharpen the focus on software and software related services. 

“We have built a foundation for long-term value creation for shareholders. During the last two years, our M&A strategy has transformed Spir Group to a comprehensive provider of data driven software solutions with strong footprint in two attractive markets: Norway and Sweden. The acquisition of Metria last year was the most recent large piece of the puzzle, following the acquisition of Ambita in 2021,” said Moulin.  

During 2022, Spir Group has also strengthened the Company’s financial position significantly by divesting Prognosesenteret and by raising additional equity. 

“The rapid M&A driven and organic growth also transformed our balance sheet, and during 2022 we reduced our debt by raising more than NOK 300 million in new equity, which combined with the divestment of Prognosesenteret contributed to establishing a strong financial platform for continued growth,” said Moulin. 

 

Key financial highlights for 2022 

  • Revenue of MNOK 1,032 (up from MNOK 543 in 2021) 
  • Adjusted EBITDA margin of 17 percent 
  • Total Annual Recurring Revenue (ARR) of MNOK 373 at the end of 2022 
  • Raised MNOK 317 of new equity during the year 


There are no significant changes to Spir Group’s consolidated statement of profit and loss and financial statement compared to the preliminary numbers disclosed in the Q4 interim report.
